Terms of Service & User Agreement

These Terms of Service and User Agreement (the "Terms") form a legally binding contract between you ("you", "your", or "User") and AutoResume ("AutoResume", "we", "us", or "our") governing your access to and use of the AutoResume website, applications, APIs, AI tools, templates, and related services (collectively, the "Service"). By creating an account, clicking "I agree", accessing, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree to any part of these Terms, you must not access or use the Service. You must be at least 16 years old (or the age of digital consent in your jurisdiction, whichever is greater) and legally capable of entering into a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, in which case "you" refers to that organization. You are solely responsible for: (a) the accuracy of all information you provide; (b) safeguarding your credentials; (c) all activity that occurs under your account; and (d) promptly notifying us of any unauthorized access. We are not liable for any loss or damage arising from your failure to comply with these obligations. Important. Statements made on our marketing pages, landing pages, home page, advertisements, social media, blog posts, sample resumes, screenshots, mockups, testimonials, case studies, time-to-result claims, salary figures, hiring statistics, ATS scores, badges, and similar promotional materials (collectively, "Marketing Content") are provided for illustrative and informational purposes only. Marketing Content may be: (i) aspirational, exaggerated, or stylized for promotional effect; (ii) generated, drafted, edited, or composed by artificial intelligence, including names, faces, quotes, screenshots, sample employer names, and example outputs; (iii) based on hypothetical, composite, or anonymized scenarios that do not depict real individuals, employers, or outcomes; or (iv) out of date. Any specific results, timelines, salaries, interview rates, hire rates, or other outcomes shown are not guarantees, warranties, or representations of typical results. Your results will vary and depend on many factors outside our control, including your background, the labor market, the employers you apply to, and how you use the Service. You agree not to rely on any Marketing Content as the basis for any decision and acknowledge that nothing in our Marketing Content forms part of any contractual promise by us. "Your Content" means any information, text, employment history, education, certifications, licenses, contact details, files, prompts, instructions, and other material you submit to or generate through the Service, including AI-assisted outputs such as resumes, cover letters, summaries, and analyses ("AI Output"). You are solely and exclusively responsible for Your Content and for any AI Output you adopt, save, download, share, send, post, or submit to any third party (including prospective employers, recruiters, job boards, or government agencies). Without limiting the foregoing, you represent and warrant that: All factual claims in any resume, cover letter, application, or other document you generate, edit, save, export, or send using the Service are true, accurate, complete, and not misleading as of the date you use them.; You have reviewed every AI Output before using it, and you are responsible for correcting any inaccuracy, hallucination, fabricated employer, fabricated date, fabricated credential, exaggerated achievement, mistranslation, or other error, regardless of whether the error originated from AI generation, autosuggestion, templates, or sample content.; You hold all necessary rights and consents to submit Your Content, and Your Content does not infringe, misappropriate, or violate any third party's intellectual property, privacy, publicity, or contractual rights.; Your use of any AI Output complies with all applicable laws and with the policies of any platform, employer, agency, or licensing body to which you submit it.; You retain ownership of Your Content. You grant AutoResume a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify, create derivative works of, transmit, and process Your Content solely as necessary to: (a) operate, provide, secure, and improve the Service; (b) transmit Your Content to third-party AI providers, hosting providers, and analytics processors acting on our behalf; (c) generate AI Output you request; and (d) comply with law. We do not sell Your Content. The Service uses generative artificial intelligence and large language models supplied by third parties. AI Output is produced probabilistically and may be inaccurate, incomplete, biased, outdated, offensive, or fabricated, including invented employers, dates, titles, certifications, addresses, statistics, quotations, and citations ("hallucinations"). AI Output is not legal, financial, medical, immigration, tax, or career advice. You must independently review, verify, and edit every AI Output before relying on it or submitting it to any third party. AutoResume disclaims all responsibility for any consequence — including job loss, denied applications, disciplinary action, license revocation, immigration consequences, or claims by employers — that arises from your use of unverified AI Output. AutoResume makes no representation, warranty, or guarantee that use of the Service will result in interviews, callbacks, offers, employment, salary increases, or any specific ATS score, ranking, or evaluation. You will not, and will not permit anyone else to: Submit false, misleading, fraudulent, defamatory, or unlawful information, including misrepresenting credentials, licenses, identity, employment history, eligibility to work, or military service.; Impersonate any person or entity, or misrepresent your affiliation with any person or entity, including using AI to create fake references, fake employer verifications, or fake identification.; Use the Service to harass, threaten, defame, discriminate against, or harm any person.; Upload or generate content that is unlawful, infringing, obscene, hateful, or that violates export controls or sanctions.; Interfere with, disrupt, overload, probe, scan, scrape, reverse engineer, decompile, or attempt to derive source code or training data from the Service or any underlying AI provider.; Use the Service to develop, train, or benchmark a competing product, model, or dataset.; Resell, sublicense, white-label, or provide bulk access to the Service without our prior written consent.; Circumvent any security, rate limit, paywall, watermark, attribution, or access control.; Use the Service in any manner that violates applicable law, including the laws of your country, state, and locality.; We may investigate and take any action we deem appropriate, including removing content, suspending or terminating accounts, and reporting unlawful activity to authorities. Paid plans are billed in advance on a recurring basis (monthly, annual, or as otherwise stated at checkout) and renew automatically at the then-current rate until cancelled. By subscribing you authorize us and our payment processor to charge your payment method for all fees, applicable taxes, and any add-ons. You can cancel future renewals at any time from your account settings; cancellation takes effect at the end of the current billing period and you retain access until then. One-time purchases (including per-resume unlocks, downloads, and exports) are final and non-refundable, except where a non-waivable refund right is required by applicable law. Subscription fees already paid are also non-refundable for partial periods. Promotional pricing, discounts, and trials may be modified or withdrawn at any time and may not be combined unless we expressly state otherwise. You are responsible for all taxes other than taxes on our net income. Failed payments may result in suspension or termination of access. We may change pricing for future billing periods on at least thirty (30) days' notice via the Service or by email. Continued use after the change takes effect constitutes acceptance. The Service, including its software, design, templates, prompts, brand, trademarks, and the selection and arrangement of content, is owned by AutoResume or its licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal, non-commercial job-search purposes (or, for paid business plans, as expressly described at purchase). All rights not expressly granted are reserved. You may submit feedback, ideas, and suggestions ("Feedback"). You grant us a perpetual, irrevocable, worldwide, royalty-free license to use Feedback for any purpose without obligation to you. The Service relies on third-party providers (including hosting, AI model providers, payment processors, email providers, and analytics). Your use of those services may also be subject to their terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of any third-party service, employer, recruiter, or job board to which you submit content. You may stop using the Service at any time and may delete your account from settings. We may suspend, restrict, or terminate your access at any time, with or without notice, if we reasonably believe you have violated these Terms, created risk or legal exposure for us, or for any other reason permitted by law. Sections that by their nature should survive termination (including Sections 3–6 and 10–17) will survive. THE SERVICE, INCLUDING ALL AI OUTPUT, MARKETING CONTENT, TEMPLATES, AND SAMPLE CONTENT, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTORESUME AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTY ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTORESUME AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST OPPORTUNITY, LOST GOODWILL, LOST DATA, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU ACTUALLY PAID TO AUTORESUME IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50). THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. You will defend, indemnify, and hold harmless AutoResume and its officers, directors, employees, agents, and suppliers from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) Your Content or AI Output you used, adopted, sent, or submitted; (b) your breach of these Terms or any representation or warranty herein; (c) your violation of any law or third-party right; or (d) any dispute between you and any employer, recruiter, agency, or other third party arising from your use of the Service. These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict-of-laws rules and the U.N. Convention on Contracts for the International Sale of Goods. The parties will first attempt in good faith to resolve any dispute informally by contacting legal@autoresume.xyz and allowing thirty (30) days for resolution. Binding Arbitration. Any unresolved dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will be conducted in English in Delaware, USA, or remotely. Judgment on the award may be entered in any court of competent jurisdiction. Class Action Waiver. YOU AND AUTORESUME AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims. 30-Day Opt-Out. You may opt out of this arbitration agreement by emailing legal@autoresume.xyz within thirty (30) days of first accepting these Terms with the subject "Arbitration Opt-Out" and your account email. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights. We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by email and update the "Last updated" date above. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance. If you do not agree, you must stop using the Service and may delete your account. These Terms, together with the Privacy Policy and any order forms or plan-specific terms, constitute the entire agreement between you and AutoResume regarding the Service and supersede any prior or contemporaneous agreements. If any provision is held unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be modified to the minimum extent necessary to be enforceable. Our failure to enforce any right is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
